RIDER WILL BE ATTACHED TO AND MADE PART OF THE CONTRACT DATED BETWEEN GOSPEL HUMMINGBIRDS

Hereinafter referred to as the ARTIST AND Hereinafter referred to as the PURCHASER Please read this rider carefully. It is an essential part of the attached contract for a performance by the ARTIST. By signing it, you are agreeing to supply the ARTIST with certain equipment and working conditions, which are essential to their performance. Any breach of the terms of this rider or breach of the contract may cause ARTIST to cancel the performance without releasing you from obligation to pay ARTIST.

1. ARTIST shall receive 100% billing on all advertising, posters, flyers, program and tickets unless other arrangements have been made.

2. PURCHASER shall make available, at PURCHASER’S expense (1) or more clean, private and locking dressing room(s) with keys that will accommodate (7) persons comfortably. Dressing room(s) shall be dry, well lighted, heated or air conditioned to create a comfortable working condition, contain chairs and be within easy access to clean preferably private lavatories which are supplied with soap, toilet tissue and towels. Minimums of two towels per entertainer/musician are to be supplied, as well as a full-length mirror and clothing rack(s) in each of the dressing rooms.

3. PURCHASER is to provide at his own expense: Food and beverage to be agreeable between manager and PURCHASER.

4. PURCHASER will make available 10 complimentary seats per show to ARTIST for his use. Seats must be preferred locations and ARTIST or representative will contact box office no later than five hours prior to performance how many complimentary tickets will be used.

5. PURCHASER agrees that he will not commit ARTIST to any personal appearances, interviews, or any type of promotion or appearance without ARTIST’S consent.

6. Artist reserves the sole and exclusive right to determine the content of the performances.

7. PURCHASER shall not permit and will prevent

a. The recording, filming, taping, video, or photographing of the Artist’ performance or of any Portion thereof, without prior written consent of the ARTIST or ARTISTS’ representative.

b. The manufacture, distribution and/or sale of any and all souvenir items associated with the ARTIST or ARTIST’S performance, without ARTIST’S approval.

8. In the event of a conflict, artist may cancel the engagement without liability, by giving the PURCHASER at least (30) Thirty days written notice in order to render their services for performance or other activity relating to a television series or special, a motion picture, legitimate stage production.

9. PURCHASER at his sole cost and expense shall obtain all licensees, permits or other approval required from any union, public authority, performing rights society of other entity having jurisdiction with respect to the engagement, and shall comply with and fulfill all terms and conditions set forth therein.

10. ARTIST shall have the right to terminate the agreement if

a. Any Member of the group dies or become ill or incapacitated

b. There is an accident or delay in the transportation or in ARTIST judgment, performing of engagement may directly or indirectly expose ARTIST or any employee of ARTIST or PURCHASER or any portion of the audience to death or injury by outbreak of violence or civil strife of any kind.

c. Performance of ARTISTS’ obligations shall be rendered impossible or impractical by reason of strike, emergency, fire or other event or condition of any kind or character.

d. Performance of any ARTIST obligations shall expose ARTIST or any employee or PURCHASER’S employees, agents or independent contractor to civil or criminal proceedings of any kind.

e. PURCHASER agrees that there shall be no discrimination based on color, race, nationality, creed or religion. In the event of a violation of the foregoing, ARTIST shall have the right to refuse to perform the engagement.

f. ARTIST is only responsible to perform the contract dates, cities, venues, TV and radio stations.

g. If this agreement shall be terminated for reason (a) or (b) of paragraph (10), ARTIST shall promptly refund to PURCHASER any amount thereto paid by PURCHASER to ARTIST and this agreement shall be terminated

h. Purchaser shall indemnify and hold Artist, Management, its contractors, agents, employees, licensees and designees harmless from and against any loss, damage, or expense, including reasonable attorney’s fees incurred, suffered by or threatened against Purchaser in connection with any claim for personal injury or property damage, brought by or on behalf of any party in connection with engagement. Purchaser further agrees to provide public liability and workman’s comp (if required) with respect to the employment.

i. Purchaser will provide hotel accommodations at a class “A” hotel nine (7) singles if so noted on contract.

j. Purchaser will pay all airline fees and overweight charges round trip if so noted on contract.

k. All payment by Purchaser to the Artist (excluding the deposit) must be cash, certified check, or government agency checks unless other arrangements have been made. THERE CAN BE NO EXCEPTIONS.

l. Purchaser will provide all ground transportation as required by Artist (7) passenger van to comfortably hold seven (7) people if so noted on contract.

11. This agreement and the ARTIST rider constitutes the parties’ entire understanding and shall not be abrogated or modified except in writing. If PURCHASER shall in any manner attempt to vary any terms set forth herein, the same shall be deemed to contribute a counter offer not binding upon the ARTIST. This agreement shall not be binding upon ARTIST until executed by an officer of ARTIST. TECHNICAL RIDER Exhibit A (See attached)

Purchaser shall furnish the following at their sole cost and expense:

(a) STAGE: A safe and securely erected stage with sufficient space and dimensions for the artist to perform comfortably and safely

(b) LIGHTING: An adequate professional stage lighting system with a standard assortment of Bright colored gels, plus a light operator.

(c) SOUND: A separate sound system for stage monitoring. The monitor system shall have independent volume controls from the main system and up to seven movable floor speakers. A minimum of two separate monitor mixes is required.

(d) A professional quality sound system with a minimum of 24 inputs, with separate equalization on each channel, and an engineer/operator.

(e) Four microphones of state of the art quality.

(f) Nine (9) on-stage monitors and five separate on-stage monitor mixes.

General Information

1. Purchaser agrees to petition and to arrange the alien employment certification and for temporary work Visas as needed.

2. All payments to artist are to be made by cash in American dollars prior to performance, unless other arrangements have been agreed upon. Drawing privileges are required.

3. Purchaser agrees that he/she will not under any circumstances, deduct any moneys whatsoever from the agreed upon payment(s) due artist under the agreement, including any State or Federal taxes of any kind.

4. Any proposed additional terms and conditions which may be affixed to this contract and rider by the purchaser, does not become part of the contract until signed by the artist. By the sole act of signing, purchaser readily accepts all provisions of the artist’s contract until signed by the artist. By the sole act of signing, purchaser readily accepts all provisions of the artist’s contract, regardless of any additions or deletions he/she may attempt to make.
